TERMS AND CONDITIONS

GC Exchange ("we", "us", "our", "the Exchange") operates the digital asset trading platform accessible at www.gcex.lt and related applications. These Terms and Conditions ("Terms") govern your use of our services and set out your rights, responsibilities, and obligations.
1. Acceptance of Terms
By registering for an account, accessing, or using the Exchange, you agree to comply with these Terms, as well as any future modifications. Continued use after updates constitutes acceptance.
2. Definitions
Capitalized terms have the meanings set in these Terms.
3. Eligibility and Account Security
Users must be at least 18 years of age and provide accurate personal information. You are responsible for protecting your account credentials and for all activities performed under your account.
4. Know Your Customer (KYC) and Verification
4.1 Identity Verification:
We require collection and verification of identity information (government ID, selfie, proof of address, and other documentation) as part of onboarding and ongoing due diligence. Failure or refusal to provide requested documents within specified timelines may result in account restriction, suspension, or closure.
4.2 Source of Funds Verification:
You must provide truthful information about the source of funds used on the Exchange. We may require documentation demonstrating the origin of digital assets or fiat used in trades, especially for high-risk activity or large transactions.
4.3 Beneficial Ownership:
For corporate or multi-party accounts, details of beneficial owners (UBOs) are required.
4.4 Sanctions and Watchlist Screening:
We screen users and wallet addresses against applicable sanctions, enforcement and watchlists at onboarding and continuously thereafter.
5. Anti-Money Laundering (AML) and Monitoring
5.1 Transaction Monitoring:
We implement AML monitoring systems to detect unusual, large, rapid, or high-risk transaction patterns inconsistent with normal trading behavior. Such monitoring extends to deposit origins, trading patterns, inter-account transfers, and withdrawal destinations.
5.2 In the event of a pricing calculation error, system malfunction, or under-valued execution, GCEX reserves the right to:
- 5.2.1 Reverse or adjust trades; and/or
- 5.2.2 Charge or debit the difference from the Client's account.
- 5.2.3 It is obligatory for users to report any such malfunctions or abnormalities, and not exploit it.
5.3 Suspicious Activity:
If activity is flagged or suspected to be fraudulent, syndicate-driven, manipulated, or otherwise abusive, we may:
- a) suspend trading or withdrawal privileges;
- b) freeze account balances;
- c) request additional documentation or explanation of activity;
- d) reverse or cancel erroneous trades;
- e) report to law enforcement or regulatory authorities.
5.4 Reporting Obligations:
We may report suspicious transactions or users to competent authorities, regulators, or law enforcement as required by applicable law.
6. Use of Own Funds & Prohibition of Syndicate Funding
Users must trade exclusively using funds that they personally own and control. The use of funds provided, pooled, routed, or coordinated by any third party, group, syndicate, or undisclosed beneficial owner is strictly prohibited.
6.1 For the avoidance of doubt:
- Deposits originating from a single wallet or a coordinated set of wallets into multiple user accounts,
- Identical or substantially similar trading patterns executed across multiple accounts,
- Use of accounts as conduits to aggregate, rotate, or distribute funds,
shall be deemed prima facie evidence of money laundering, syndicate trading, or financial crime, regardless of whether the underlying assets are digital or fiat.
6.2 The Exchange reserves the sole and absolute right to:
- classify such activity as Money Laundering or Attempted Money Laundering;
- immediately freeze affected accounts and balances;
- revoke KYC approvals without prior notice;
- cancel, reverse, or forfeit any trades, profits, or withdrawals arising from such activity;
- report the activity, user identities, wallet addresses, and transaction history to relevant financial intelligence units, regulators, and law enforcement authorities.
6.3 Lack of knowledge, third-party arrangements, or claims of acting on behalf of others shall not constitute a defense.
Users are fully responsible for ensuring that all funds deposited, traded, or withdrawn on the Exchange are their own lawful assets and are not linked to any collective, organized, or undisclosed financial scheme.
7. Prohibited Uses
You agree not to use the Exchange:
- a) for money laundering, terrorist financing, fraud, market manipulation, wash trading, spoofing, layering, or other illegal behavior;
- b) to channel funds through third-party accounts or undisclosed syndicates;
- c) using automated bots or strategies that violate exchange policies;
- d) to transfer assets where the beneficial owner is not you, unless explicitly authorized.
8. Account Suspension, Termination, and Forfeiture
8.1 Breach or Reasonable Suspicion:
We reserve the right to suspend, restrict, or terminate your access if we reasonably suspect that:
- a) you have violated these Terms;
- b) your activity poses regulatory, legal, or financial risk;
- c) your funds originated from or are linked to illicit activity;
- d) you evade controls by creating multiple accounts.
8.2 Revocation of Profits:
If we determine, at our discretion, that profits were generated from prohibited or abusive activity, such gains may be reversed or forfeited.
8.3 Notice:
Suspension or termination may be without prior notice where disclosure would compromise security, regulatory demands, or ongoing investigations.
9. Transaction Errors
We reserve the right to correct or reverse trades, balances, or orders containing manifest errors, exploits, or resulting from technical faults, including price anomalies or exploits that could be abused for arbitrage or other unintended gain.
10. Data Retention, Logs, and Audit Trails
We maintain transaction records, logs, user communications, and compliance records for internal review, regulatory reporting, and law enforcement cooperation. By using the Exchange, you consent to such logging and retention.
11. Risk Acknowledgment
You acknowledge digital asset trading carries significant risk. You assume all responsibility for market volatility, technology failures, regulatory changes, and price discrepancies.
12. Amendment and Governing Law
These Terms may be updated at any time. Continued use signifies acceptance. These Terms are governed by the laws of the applicable jurisdiction where the Exchange operates.
